Proposed New SC By-laws
Having formed Sonography Canada (SC) from the best of CARDUP and CSDMS, the time has come to recast the current SC By-laws that were created to facilitate amalgamation. Taking direction from the Canada Not-for-profit Corporations Act (the ‘Act’), the primary purpose of the recast By-laws is to define the structure of membership (e.g., one class of members each having one vote and equal rights) and governance (e.g., there will be a Board elected by the members). The recast By-laws do not prescribe executive structure or operating practices or policies or committees – these matters are now to be dealt with by Board resolution and/or official SC policy statements.
The recast By-laws are expected to be put to a vote at the upcoming Annual General Meeting (AGM) on Friday, May 26, at 4:00 p.m. in Vancouver.
As SC evolves, the recast By-laws will allow changes to be made without having to change the By-laws – something that can only be done by a vote of the members.
With the guidance and advice of legal counsel, based upon current SC practices and with a vision to the future, the recast By-laws have been reviewed by the Executive Committee and the SC Board of Directors.
